Terms of Service

1. Parties & Acceptance

These Terms of Service (“Terms”) form a legally binding contract between Transformation Diagnostics AI Ltd, Company No. 15358901, trading as Intriq.AI (”Intriq”, “we”, “our”), registered at 20 Wenlock Road, London, N1 7GU, UK, and the entity or person (”Customer”, “you”) accepting them by:

  • Executing a written Order Form or Service Agreement
  • Clicking “I agree” during the user registration process on the Intriq dashboard

2. The Service & Core Privacy Commitments

Intriq provides a web dashboard that ingests private and public documents (e.g., PPTX, DOCX, PDF) and automatically generates consultant-grade slide-decks.

We do not train any shared or foundation-level AI model on Customer data.

Instead, the Service may create user-private models that remain logically isolated to your workspace.

We have established Data Processing Agreements (DPAs) with our generative AI partners: OpenAI, Google Gemini, and Perplexity AI - that explicitly prohibit the use of Customer data for model training or commercial reuse, ensuring contractual compliance with UK/EU data protection laws.

3. Trial & Subscription

  • Trial / Pilot period: One seat, 7 days, no charge. After expiry, you can upgrade or your account will be frozen.
  • Subscription: Monthly billing in Customer's currency. Payment due Net 30 via manual invoice.
  • Taxes: Prices exclude VAT or other taxes. Reverse-charge rules apply for EU clients.

4. Customer Content, Ownership & Licence

  • Ownership - You retain all rights to your content (documents, prompts, generated slides).
  • Limited Licence - You grant Intriq a non-exclusive, royalty-free licence to host and process content only to provide the service.
  • No Secondary Use - Your content will not be sold, shared, or used for advertising or multi-tenant training.
  • Retention & Deletion - Content is deleted 12 months after termination or earlier upon request. A self-service deletion feature is in development; in the meantime, contact: privacy@intriq.ai

5. Acceptable Use & Fair-Use Policy

Use is governed by our Acceptable Use Policy (Annex A).

Fair-use limits may be applied at our discretion to protect platform stability.

6. Security & Compliance

  • Encryption: TLS 1.3 in transit, AES-256 at rest.
  • Supabase & Krystal: ISO 27001
  • OpenAI, Perplexity: SOC 2 Type II
  • Gemini (Google Cloud): ISO 27001, SOC 2
  • Internal Controls: All staff access uses SSO + 2FA and least-privilege roles.
  • DPA: We offer a GDPR-ready DPA upon request.

7. Service Level & Support

Service is provided “as-is”.

Support available via email: support@intriq.ai during UK business hours.

8. Warranty Disclaimer

  • Fitness for a particular purpose
  • Non-infringement

9. Limitation of Liability

We are not liable for indirect or consequential damages. Our total liability is capped at:

  • 3 months of subscription fees
  • The payout limit of our cyber-liability insurance, whichever is higher

10. Indemnity

  • Breach of the Acceptable Use Policy
  • Upload of unlawful or infringing content

11. Termination & Data Export

Either party may terminate for material breach with 5 business days' notice.

Data is otherwise deleted in line with our Privacy Policy.

12. Governing Law & Venue

These Terms are governed by English law. The courts of England & Wales have exclusive jurisdiction.

13. Changes to Terms

We may update these Terms. Material changes take effect 1 month after notice is provided. Continued use = acceptance.

📘 Annex A — Acceptable Use Policy (AUP)

  • A1. Disallowed Content & Conduct: Uploading or distributing illegal content, including child sexual abuse material (CSAM)
  • Sharing infringing or pirated content, including copyrighted material without rights
  • Engaging in harassment, hate speech, defamation, or targeted abuse
  • Distributing or executing malware, spyware, phishing attempts, or denial-of-service attacks
  • Attempting to bypass AI model safeguards or conduct automated scraping, jail-breaking, or prompt injection attacks
  • Sending spam, conducting deceptive marketing, or engaging in fraudulent behavior
  • A2. Security & Integrity: Customers must not probe, scan, or test the vulnerability of the platform
  • Circumvent or tamper with authentication or access controls
  • Exploit or abuse rate limits or session boundaries
  • To protect system stability, Intriq may apply rate limits, throttling, or temporarily restrict access as needed.
  • A3. Enforcement: Violations of this policy may result in content removal, account suspension, termination of access to the Service.
